Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of ArenaArchive, including our website, marketplace, listings, checkout, payment hold process, messaging, dispute tools, seller tools, and related services (collectively, the “Platform”). By using the Platform, you agree to these Terms.
If you use ArenaArchive on behalf of a business, team, organization, or store, you represent that you have authority to bind that entity and that the entity agrees to these Terms.
2. Marketplace Role
ArenaArchive is a marketplace platform that connects buyers and sellers of sports equipment and related items. ArenaArchive is not the seller, buyer, owner, manufacturer, distributor, inspector, or guarantor of listed items unless expressly stated in writing.
Sellers are responsible for listing accuracy, item condition, authenticity, ownership rights, fulfillment, shipping, taxes, and compliance with law. Buyers are responsible for reviewing listings, photos, descriptions, condition, seller information, price, shipping details, and policies before purchasing.
3. Eligibility, Accounts, and Security
You must be at least 18 years old, or the age of legal majority where you live, to create an account or transact without a parent or guardian. You must provide accurate information and keep account credentials secure.
You are responsible for activity under your account. ArenaArchive may suspend, restrict, or terminate accounts if we believe an account has violated these Terms, created risk, engaged in fraud, abused disputes, or harmed marketplace integrity.
4. Listings and User Content
Users may upload listing text, images, product details, seller profile content, messages, and other content (“User Content”). You represent that you own or have permission to use any User Content you submit.
You retain ownership of your User Content, but you grant ArenaArchive a worldwide, non-exclusive, royalty-free license to host, display, reproduce, modify for formatting, distribute, promote, analyze, and use your User Content in connection with operating, protecting, and improving the Platform.
ArenaArchive may remove, restrict, edit, decline, or disable listings or content if we believe they may violate these Terms, law, intellectual property rights, payment processor rules, buyer/seller safety, or marketplace integrity.
5. Prohibited Listings and Conduct
You may not list, sell, purchase, request, upload, promote, or engage in activity involving:
- Counterfeit, stolen, unsafe, recalled, illegal, or misrepresented items;
- Items you do not own or do not have the right to sell;
- Brand photos, product photos, copyrighted images, trademarks, logos, or text you are not authorized to use;
- Fraudulent payment, identity, shipping, feedback, review, or dispute activity;
- Attempts to move transactions off-platform to avoid fees, payment holds, or buyer/seller protections;
- Harassment, threats, abusive messages, discrimination, or manipulation of the Platform;
- Any conduct that violates law, payment processor terms, third-party rights, or ArenaArchive policy.
6. Prices, Fees, Taxes, and Payment Processor Terms
Sellers choose listing prices unless ArenaArchive tools suggest or assist pricing. ArenaArchive may charge commissions, service fees, platform fees, payment processing fees, shipping fees, taxes, or other charges disclosed in checkout, seller onboarding, payout screens, or policy pages.
Payments may be processed by third-party providers such as Stripe or other payment partners. Use of payment features may be subject to the applicable payment provider’s terms, verification requirements, risk controls, reserves, holds, chargeback procedures, and payout rules.
Sellers are responsible for taxes, income reporting, business licenses, sales tax obligations, and any other obligations arising from sales. Buyers are responsible for applicable taxes, shipping, and fees shown at checkout.
7. Payment Holds, Escrow-Style Process, and Release of Funds
ArenaArchive uses a conditional payment release process designed to support safer marketplace transactions. Buyer payments may be securely processed and temporarily held by ArenaArchive or its payment partners before seller payout.
Unless a transaction is subject to review, dispute, fraud concern, chargeback, payment processor delay, or policy issue, funds are generally released to the seller when one of the following occurs:
- The buyer confirms receipt of the item; or
- 72 hours have passed after confirmed delivery based on carrier tracking or other delivery evidence accepted by ArenaArchive.
If no dispute is submitted within the 72-hour review period, ArenaArchive may consider the transaction complete and release funds to the seller. ArenaArchive may delay, withhold, reverse, offset, or redirect funds if we believe a dispute, fraud, chargeback, payment risk, legal issue, or policy violation exists.
8. Buyer Protection and Disputes
ArenaArchive offers buyer protection for eligible transactions. Buyer protection is designed to help with issues such as non-delivery, materially inaccurate listings, undisclosed damage, or wrong items. Buyer protection does not guarantee refunds in every case.
Buyers must submit disputes within 72 hours of confirmed delivery unless ArenaArchive states otherwise. Failure to submit a dispute within the applicable window may result in the transaction being treated as final.
ArenaArchive may review listing content, photos, messages, tracking, carrier records, user history, payment records, and any other relevant evidence. ArenaArchive has discretion to issue a full refund, partial refund, return requirement, seller payout release, claim denial, account action, or other resolution.
All dispute decisions are made at ArenaArchive’s discretion based on the information available at the time. ArenaArchive may reopen, revise, or escalate matters if new evidence, fraud, chargebacks, or legal obligations arise.
9. Returns, Refunds, and Final Sale
Marketplace purchases are generally final unless eligible for buyer protection or otherwise approved by ArenaArchive. Returns are not automatically available for buyer’s remorse, fit, sizing, preference, or minor wear consistent with the listing.
Refunds, partial refunds, return shipping responsibility, and payout adjustments are governed by ArenaArchive’s Returns & Refund Policy and any specific decision made in a dispute.
10. Shipping, Delivery, and Risk of Loss
Sellers are responsible for shipping items accurately, securely, and within any stated handling time. Buyers are responsible for providing accurate shipping information and monitoring delivery.
Delivery confirmation may be based on carrier tracking, delivery scans, buyer confirmation, proof of delivery, or other evidence accepted by ArenaArchive. Package theft, address errors, carrier exceptions, and delivery disputes may be reviewed case-by-case.
11. Intellectual Property and DMCA
Users may not upload or use content that infringes copyright, trademark, publicity, privacy, or other rights. ArenaArchive may remove allegedly infringing content and may terminate repeat infringers.
Copyright complaints should be submitted under our DMCA Policy. Trademark and counterfeit concerns may also be reviewed and acted upon by ArenaArchive.
12. Privacy and Cookies
Our collection and use of information is described in our Privacy Policy and Cookie Policy. By using the Platform, you acknowledge that ArenaArchive and service providers may process account, transaction, device, usage, payment, support, and security information as described in those policies.
13. Reviews, Ratings, Badges, and Verification
ArenaArchive may display seller badges, verification indicators, ratings, completed-sale indicators, or trust signals. These are platform indicators and are not guarantees of future conduct, item quality, authenticity, or transaction outcome.
ArenaArchive may remove or modify badges, trust indicators, or ratings if we believe they are inaccurate, manipulated, outdated, or inconsistent with marketplace safety.
14. Platform Availability and Changes
ArenaArchive may change, suspend, discontinue, limit, or modify features at any time. We do not guarantee uninterrupted access, error-free operation, or continued availability of any feature, listing, tool, category, or integration.
15. Indemnification
You agree to defend, indemnify, and hold harmless ArenaArchive, Sport Swap, L.L.C., and their owners, officers, employees, contractors, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from your use of the Platform, User Content, listings, transactions, disputes, breach of these Terms, violation of law, or infringement of third-party rights.
16. Disclaimers
The Platform is provided “as is” and “as available.” ArenaArchive disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation to the fullest extent permitted by law.
ArenaArchive does not guarantee item quality, authenticity, safety, legality, condition, delivery timing, seller performance, buyer performance, or dispute outcomes.
17. Limitation of Liability
To the fullest extent permitted by law, ArenaArchive, Sport Swap, L.L.C., and their owners, officers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from the Platform or user transactions.
To the fullest extent permitted by law, ArenaArchive’s total liability for any claim will not exceed the greater of the fees paid to ArenaArchive for the transaction giving rise to the claim or $100.
18. Suspension, Enforcement, and Remedies
ArenaArchive may investigate, restrict, suspend, terminate, withhold payouts, remove listings, cancel orders, reverse credits, block payments, or take other action if we believe these Terms, law, payment rules, or marketplace integrity may be at risk.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules, unless mandatory law requires otherwise. Venue for disputes not subject to arbitration or small claims will be in state or federal courts located in Minnesota.
Before filing a legal claim, you agree to contact ArenaArchive and attempt to resolve the issue informally. ArenaArchive may update this dispute process as the Platform grows.
20. Changes to These Terms
ArenaArchive may update these Terms from time to time. Updated Terms are effective when posted unless otherwise stated. Continued use of the Platform after updates means you accept the revised Terms.
